CONTRACT-OFFER
purchase and sale of art objects

1. General provisions
1.1. Individual entrepreneur Odainic Tatiana Vyacheslavovna, hereinafter referred to as the Seller, acting on the basis of the record of the state registration of an individual as an individual entrepreneur for GRNIP 323 390 000 024 564, addresses this Offer Agreement (hereinafter referred to as the Offer Agreement) to an indefinite circle of persons (hereinafter referred to as the Buyer).

1.2. The contract-offer is an official offer of the Seller to conclude a contract for the sale of art objects (hereinafter referred to as the Goods) and contains all the essential terms of the contract for the sale of art objects (hereinafter referred to as the Contract).

1.3. The acceptance of the Contract-offer is the payment of the Goods in the order, amount and terms specified by the Seller on esthetegallery.com.

1.4. By accepting the Offer Agreement in the manner specified in clause 1.3. of the Offer Agreement, the Buyer guarantees that he has read, fully and unconditionally accepts all the terms of the Agreement in the form in which they are set out in the text of the Offer Agreement.

1.5. The Buyer understands that the acceptance of the Offer Agreement in the manner specified in clause 1.3 of the Offer Agreement is equivalent to the conclusion of the Contract on the terms set out in the Offer Agreement.

1.6. By performing actions for the acceptance of the Contract-offer, the Buyer guarantees that he is not deprived or restricted of legal capacity, and is also able to exercise his rights and legitimate interests covered by this Agreement.

1.7. The contract-offer is posted on the Seller’s website esthetegallery.com.

1.8. The Seller has the right to make changes to the terms of the Offer Agreement at any time. Changes to the terms of the Offer Agreement begin to take effect from the moment they are published on the website esthetegallery.com.

1.9. The offer agreement cannot be revoked.

1.10. The offer agreement does not require sealing and/or signing by the Seller and the Buyer (hereinafter referred to as the Parties), while maintaining full legal force.

2.1. In accordance with the terms of the Contract, the Seller undertakes to deliver the Goods, and the Buyer undertakes to pay for it.

2.2. Types, names of Goods, their cost and characteristics are indicated on the Seller’s website esthetegallery.com.

2.3. To organize the delivery of Goods, the Seller has the right to involve transport and logistics companies of his choice.

3.1. The period for acceptance by the Buyer is unlimited.

3.2. The Agreement comes into force from the moment of acceptance and is valid until the Parties fully fulfill their obligations.

4.1. The terms of delivery of the Goods are calculated on the Seller’s website, taking into account the distance from the place of their loading to the place of unloading.

5.1. The Buyer undertakes:
5.1.1. Pay for the Goods in the manner, amount and terms stipulated by the Offer Agreement.

5.1.2. Not to use the information received from the Seller in ways that could lead to damage to the interests of the Seller.

5.2. The Seller undertakes:
5.2.1. Organize and ensure the delivery of Goods of proper quality and meeting safety requirements.

5.2.2. To provide the Buyer with reliable information about himself and about the Goods being sold, ensuring the possibility of their correct choice.

5.2.3. Use personal data and other confidential information about the Buyer only to offer the Goods sold on the site esthetegallery.com and the organization of their deliveries, not to transfer or show to third parties the documentation and information about the Buyer that he has.

5.3 Buyer’s Rights:
5.3.1. Require the Seller to provide full information about the Goods being sold.
5.3.2. Demand the delivery of Goods of proper quality and meeting safety requirements.

5.3.3. To refuse the Goods, subject to payment to the Seller of the actual costs incurred for its delivery.

5.3.4. Upon detection of a shortage of Goods, at your choice to demand:

• refund of funds, taking into account the return of the Product itself;
• a proportionate reduction in the value of the Goods.

5.3.5. Contact the Seller for all questions related to the sale of Goods.

5.4. Seller’s Rights:
5.4.1. Independently determine the range of Products placed on the site esthetegallery.com.

5.4.2. Demand payment for the delivered Goods.

5.4.3. To refuse to execute the Contract on condition of full compensation of losses to the Buyer in accordance with the legislation of the Civil Code of the Russian Federation.

6.1. Before sending the Goods, the Seller, at the request of the Buyer, sends the last photo and video report on completeness, condition and quality. the Product being shipped.

6.2. The Goods are delivered to the place specified by the Buyer when placing an order on the website esthetegallery.com.

6.3. The Goods are considered accepted if within one calendar day, from the moment of its receipt by the Buyer, no claims regarding its quality have been sent to the Seller.

6.4. If the Buyer receives the Goods of inadequate quality, the latter notifies the Seller of his intention to return the Goods, and also organizes its shipment at his own expense. After the Buyer confirms the fact of sending the Goods (assigning a track number), the Seller returns the money received for the Goods.

7.1. The cost of the Goods is indicated on the Seller’s website esthetegallery.com.

7.2. The cost of the Goods after the Buyer makes the order, can be changed only by signing an additional agreement to the Contract.

8.1. Payment for Goods is carried out in the order of one hundred percent prepayment on the website.

8.2. The Buyer has the right to pay the cost of the Goods in any of the following ways:

• transfer by the Buyer of funds in the currency of the Russian Federation (ruble) to the Seller’s current account. At the same time, the Buyer’s obligations regarding payment under the Contract are considered fulfilled from the date of receipt of funds to the Seller’s settlement account;
• transfer of cash by the Buyer to the Seller (by depositing in the cash register).

9.1. This clause provides that the Seller applies a special tax regime in the form of a simplified tax system and is not a VAT payer.

10.1. The Parties are responsible for non-performance or improper performance of their obligations under the Agreement in accordance with the legislation of Russia.

11.1. The Contract may be terminated by agreement of the Parties, as well as unilaterally at the written request of one of the Parties on the grounds provided for by law.

11.2. Termination of the Agreement unilaterally is carried out only at the written request of the Parties within 30 calendar days from the date of receipt by the Party of such a request.

12.1. The claim procedure is mandatory. The dispute may be submitted to the Arbitration Court for resolution after the parties have taken measures for pre-trial settlement after thirty calendar days from the date of referral claims.

13.1. The Parties are released from liability for full or partial non-fulfillment of obligations under the Agreement if the non-fulfillment of obligations was the result of force majeure, namely: fire, flood, earthquake, strike, war, actions of state authorities or other circumstances beyond the control of the Parties.

13.2. A Party that cannot fulfill its obligations under the Agreement must notify the other Party in writing in a timely manner, but no later than 5 calendar days after the occurrence of force majeure circumstances, with the provision of supporting documents issued by the competent authorities.

13.3. The Parties acknowledge that the insolvency of the Parties is not a force majeure event.

14.1. The Parties acknowledge that if any of the provisions of the Agreement becomes invalid during the term of its validity due to a change in legislation, the remaining provisions of the Agreement are binding on the Parties during the term of the Agreement.
